Terms of Service
Last updated: July 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the Synedica Laboratories clinical documentation portal at synedica.health, including unit verification, batch traceability records, and Certificate of Analysis ("COA") access (collectively, the "Service"), operated by [SYNEDICA LEGAL ENTITY NAME], a [STATE OF INCORPORATION] [ENTITY TYPE, e.g. limited liability company] ("Synedica," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
The Service allows a visitor to verify a printed unit code and retrieve associated documentation status, formulation identity, batch information, and linked COA documents where available. The Service is a documentation and traceability tool. It is not a retail storefront, and the Service does not facilitate the purchase of any product.
3. Research Use Only — No Medical Use, No Medical Advice
Material referenced in documentation records is manufactured and supplied strictly for in vitro laboratory and analytical research purposes. It is not a drug, biologic, medical device, dietary supplement, food, or cosmetic under the U.S. Federal Food, Drug, and Cosmetic Act, and it has not been evaluated by the U.S. Food and Drug Administration for safety, efficacy, or any other purpose. No claim is made, express or implied, that any referenced material diagnoses, treats, cures, mitigates, or prevents any disease or condition in humans or animals.
By using the Service, you represent and warrant that: (a) you are acquiring information for permitted research purposes only; (b) you will not administer, or cause to be administered, any referenced material to a human or animal; (c) you are at least 18 years of age; and (d) you are solely responsible for determining and complying with all laws, regulations, and institutional policies applicable to the purchase, possession, handling, and use of research material in your jurisdiction.
Nothing on the Service constitutes medical advice, a medical opinion, or a substitute for consultation with a qualified healthcare professional. Content and disclaimer text are also presented at the homepage and on individual product records.
4. Eligibility
The Service is intended for laboratories, research institutions, and qualified individual researchers. You must be at least 18 years old to use the Service. By using the Service you represent that you meet these requirements.
5. Acceptable Use
You agree not to: (a) misrepresent your identity or affiliation when using the Service; (b) attempt to circumvent, disable, or interfere with security features of the Service, including rate limiting or access controls; (c) submit automated queries at a volume intended to degrade Service availability; (d) use the Service to facilitate resale of referenced material for human or veterinary consumption; or (e) use the Service in violation of any applicable law.
6. Accuracy of Documentation Information
Clinical documentation records, batch data, and COA documents are provided for documentation and traceability purposes. While Synedica maintains internal controls over how records are created and updated, Synedica does not warrant that portal output is complete, current, or free of error at every moment of access. If you identify a discrepancy between a physical unit and its documentation record, contact us using the details below before relying on the record.
7. Intellectual Property
The Service, including its text, graphics, logos, and underlying software, is owned by Synedica or its licensors and is protected by applicable intellectual property laws. You may view and print documentation and COA records for your own reference; you may not reproduce, redistribute, or create derivative works from the Service without prior written permission.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SYNEDICA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNEDICA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SYNEDICA'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED [LIABILITY CAP AMOUNT / "ONE HUNDRED U.S. DOLLARS"].
10. Indemnification
You agree to indemnify and hold Synedica harmless from any claim, liability, damage, or expense (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of [GOVERNING LAW STATE], without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in [VENUE COUNTY/STATE], and you consent to the jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "last updated" date below. Continued use of the Service after a change constitutes acceptance of the revised Terms.
